These Consignment Vendor Terms & Conditions (“Terms”) apply to all makers, artists, producers, creators and other businesses (“Vendor”, “you” or “your”) supplying goods to Depot 65 Canalside Emporium (“Depot 65”, “we”, “us” or “our”) for sale on a consignment basis.
Depot 65 Canalside Emporium operates as a retail outlet for locally made arts, crafts, gifts and other approved products.
Depot 65 uses Shopify and the PuppetVendors application to manage Vendor accounts, product information, inventory, sales, commissions and Vendor payments.
By registering as a Vendor, accessing or using a Vendor Account through depot65.com, supplying goods to Depot 65, or otherwise participating in the Depot 65 consignment scheme, you agree to these Terms.
For the purposes of these Terms:
“Depot 65 Website” means the online store operated by Depot 65 at depot65.com, which is powered by Shopify.
“Vendor Account” means the Vendor's individual account associated with the Depot 65 Website. The Vendor accesses and manages its Vendor Account through the Depot 65 Website.
“PuppetVendors” means the third-party Shopify application used by Depot 65 to provide the back-end functionality associated with Vendor Accounts, including management of Vendor products, inventory, sales and commissions.
“Shopify” means the e-commerce platform used by Depot 65 to operate the Depot 65 Website and Retail Store.
“Consignment Goods” means goods supplied by the Vendor to Depot 65 for display and sale on a consignment basis.
“Product Listing” means the information relating to a Vendor's product contained within the Vendor Account, including the product name, description, photographs, price and other product information.
“Available Stock” means the quantity of a particular product that has been physically received by Depot 65, accepted into stock and is available for sale.
“Sale Price” means the retail price at which a product is sold to a customer.
“Commission” means the percentage of the Sale Price retained by Depot 65 in accordance with these Terms.
2.1 The arrangement between Depot 65 and the Vendor is a consignment arrangement.
2.2 Unless otherwise expressly agreed in writing, ownership of unsold Consignment Goods remains with the Vendor until the relevant item is sold to a customer.
2.3 Depot 65 does not purchase Consignment Goods from the Vendor when they are delivered to the Emporium.
2.4 Depot 65 is authorised to display and sell approved Consignment Goods to customers on the Vendor's behalf.
2.5 The Vendor remains the owner of unsold Consignment Goods while they are held by Depot 65.
2.6 Nothing in these Terms creates a partnership, joint venture, employment relationship or franchise between Depot 65 and the Vendor.
3.1 Each Vendor will have a Vendor Account associated with the Depot 65 Store.
3.2 The Vendor accesses its Vendor Account through depot65.com.
3.3 The Vendor Account is supported by the PuppetVendors application operating within the Shopify platform.
3.4 The Vendor is responsible for using its Vendor Account to create and maintain its Product Listings in accordance with these Terms.
3.5 The Vendor must keep its login credentials secure and must not knowingly allow unauthorised persons to access its Vendor Account.
3.6 The Vendor must notify Depot 65 promptly if it believes that its Vendor Account has been accessed or used without permission.
4.1 The Vendor is responsible for creating and maintaining its own Product Listings through its Vendor Account on depot65.com.
4.2 Depot 65 will provide the Vendor with access to the functionality required to create and manage its Product Listings.
4.3 The Vendor is responsible for ensuring that all information entered into its Vendor Account is complete, accurate and up to date.
4.4 Unless otherwise agreed, Depot 65 will not be responsible for creating or maintaining Product Listings on behalf of the Vendor.
4.5 The Vendor is responsible for entering all required product information, including where applicable:
product name;
product description;
product photographs;
retail price;
product category;
product type;
product dimensions;
weight;
materials;
ingredients;
care instructions;
safety information;
age restrictions;
warnings;
maker or manufacturer information;
country of origin;
product codes or SKUs;
VAT information; and
any other information reasonably required by Depot 65.
4.6 The Vendor must ensure that all information supplied through its Vendor Account is truthful, accurate and not misleading.
4.7 The Vendor is responsible for ensuring that it has the necessary rights to use all photographs, artwork, logos and other content uploaded to its Vendor Account.
4.8 The Vendor must promptly update its Product Listings whenever there is a material change to the product, description, photographs, price, packaging, materials, ingredients, safety information or other relevant product information.
4.9 Depot 65 may review Product Listings and may edit, amend, suspend or reject a listing where reasonably necessary to correct formatting, maintain consistency, comply with legal requirements, address inaccurate information, address a safety concern or protect Depot 65 from legal, regulatory or reputational risk.
5.1 The Vendor is responsible for entering the retail price of each product through its Vendor Account.
5.2 The price entered by the Vendor will normally be the retail price at which the product is offered for sale through Depot 65.
5.3 The Vendor is responsible for ensuring that its prices are accurate and reflect any applicable VAT requirements.
5.4 The Vendor may request or propose price changes through its Vendor Account, subject to any reasonable restrictions imposed by Depot 65.
5.5 Depot 65 may request that a Vendor correct a price where there is a reasonable concern that the price is incorrect, misleading or otherwise inappropriate.
5.6 Depot 65 may temporarily suspend a Product Listing where a pricing discrepancy needs to be resolved.
6.1 The Vendor is responsible for delivering approved Consignment Goods to Depot 65 at the agreed time and in an appropriate condition.
6.2 The Vendor remains responsible for the goods while they are in transit to Depot 65.
6.3 Stock is not considered Available Stock until it has physically arrived at Depot 65 and has been received and recorded by Depot 65.
6.4 The Vendor must not represent stock as being Available Stock where that stock has not yet been physically delivered to and received by Depot 65.
6.5 Upon delivery, Depot 65 will:
receive the physical goods;
check the quantity where reasonably practicable;
identify the relevant products;
record the stock received; and
update the Available Stock quantity within the Depot 65 inventory system.
6.6 Depot 65, rather than the Vendor, is responsible for updating the Available Stock quantity following delivery of physical goods.
6.7 The Vendor must provide sufficient information with each delivery for Depot 65 to identify the products being delivered and correctly allocate the stock to the relevant Product Listings.
6.8 Where the quantity delivered differs from the quantity stated by the Vendor, Depot 65 may record the quantity actually received.
6.9 Depot 65 may refuse delivery of goods that have not been approved, are damaged, are unsafe, are inadequately packaged or cannot reasonably be matched to an approved Product Listing.
7.1 The parties acknowledge that there may be a period during which goods supplied by the Vendor are in transit to Depot 65 but are not yet physically held by Depot 65.
7.2 During this period, those goods must not be treated as Available Stock for sale through Depot 65 unless otherwise expressly agreed.
7.3 The Vendor is responsible for informing Depot 65 when additional stock is being supplied and delivering that stock to Depot 65. Depot 65 is responsible for adding the physically received quantity to the Available Stock figure.
7.4 The Vendor must not independently increase the Available Stock quantity in its Vendor Account to reflect goods that are still in transit.
7.5 Where the Vendor has additional stock available for future delivery, the Vendor should contact Depot 65 or arrange delivery in accordance with the agreed stock replenishment process.
7.6 Once stock has been physically received and recorded by Depot 65, it becomes Available Stock and may be offered for sale.
7.7 Sales made through Depot 65 may automatically reduce the Available Stock quantity through Shopify and/or PuppetVendors.
7.8 Depot 65 may make reasonable adjustments to stock records following:
physical stock checks;
damaged or missing stock;
returns;
stock discrepancies;
stock withdrawals;
product transfers; or
other legitimate inventory adjustments.
7.9 The Vendor may view available stock information through its Vendor Account where that functionality is provided.
7.10 The Vendor should notify Depot 65 if it believes the recorded Available Stock does not accurately reflect the physical stock held by Depot 65.
8.1 Legal ownership of unsold Consignment Goods remains with the Vendor.
8.2 The Vendor warrants that it has full legal title to all goods supplied and that they are not subject to any third-party claim, charge, lien or other restriction.
8.3 The Vendor remains responsible for goods while they are in transit to Depot 65.
8.4 Once goods have been physically delivered to Depot 65 and accepted into stock, Depot 65 will take reasonable care of those goods while they are held at the Emporium.
8.5 Nothing in these Terms transfers ownership of unsold goods to Depot 65.
9.1 Depot 65 will retain a commission from each completed sale.
9.2 Depot 65's standard commission is 40% of the Sale Price.
9.3 Subject to any applicable refunds, chargebacks, discounts or other agreed adjustments, the Vendor's share of a standard sale will therefore be 60% of the Sale Price.
9.4 Example:
Customer Sale Price: £100.00Depot 65 commission (40%): £40.00Vendor share (60%): £60.00
9.5 The applicable commission rate will be recorded against the Vendor's account.
9.6 PuppetVendors will be used as part of the system for recording Vendor sales and calculating or recording applicable commissions.
9.7 Commission is payable on completed sales, subject to applicable refunds, cancellations, chargebacks and other adjustments.
9.8 Depot 65 may deduct its commission from the Vendor's share of sale proceeds before payment is made.
10.1 Sales of Vendor products may be processed through:
the Depot 65 physical point-of-sale system;
the Depot 65 online store; or
other authorised Depot 65 sales channels.
10.2 Sales processed through the Depot 65 systems will be recorded through Shopify and/or PuppetVendors as appropriate.
10.3 Depot 65 is responsible for processing customer payments for sales made through its sales channels.
10.4 Sales will normally result in the relevant Available Stock being reduced through the Depot 65 inventory system.
10.5 Depot 65 will account to the Vendor for the Vendor's share of completed sales in accordance with these Terms.
11.1 PuppetVendors will provide the back-end functionality used by Depot 65 to manage Vendor sales, inventory and commissions.
11.2 The Vendor may access relevant information through its Vendor Account on depot65.com where the relevant functionality is available.
11.3 Sales information may include:
product sold;
quantity sold;
Sale Price;
gross sales;
Depot 65 commission;
refunds or adjustments; and
Vendor amount payable.
11.4 The Vendor should regularly review its sales information.
11.5 The Vendor must notify Depot 65 of any suspected discrepancy within 14 days of the relevant statement or information becoming available.
12.1 Depot 65 will pay Vendors the amount due from completed sales in accordance with the agreed payment schedule.
12.2 Unless otherwise agreed:
Payment frequency: Monthly
Payment timing: Within 14 days of the end of the relevant monthly accounting period.
12.3 Payments will normally be made by bank transfer to the bank account supplied by the Vendor.
12.4 The Vendor is responsible for ensuring that its payment information held by Depot 65 is accurate.
12.5 Depot 65 may withhold payment of amounts reasonably disputed or affected by a customer refund, chargeback or unresolved transaction.
13.1 Depot 65 will deal with customers in relation to purchases made through Depot 65.
13.2 Where a customer returns a product because it is faulty, not as described, unsafe or otherwise does not comply with the customer's legal rights, Depot 65 may provide the remedy required by law.
13.3 Where a refund or other remedy is provided because a product is defective, unsafe, incorrectly described or otherwise attributable to the Vendor or its product, Depot 65 may deduct the corresponding amount from sums otherwise due to the Vendor, subject to applicable law.
13.4 Depot 65 will notify the Vendor of material or repeated complaints.
13.5 The Vendor must cooperate reasonably with Depot 65 in resolving product complaints.
14.1 The Vendor is responsible for ensuring that all products supplied to Depot 65 comply with all applicable UK laws and regulations.
14.2 Products must be safe, fit for their intended purpose and accurately described.
14.3 Where applicable, the Vendor must ensure that products carry all legally required safety information, warnings, instructions, labels, manufacturer's information, age restrictions, ingredient information, care instructions, conformity markings, certification and traceability information.
14.4 The Vendor must provide Depot 65 with any information reasonably required to demonstrate compliance.
14.5 Depot 65 may immediately suspend the sale of any product where it reasonably believes that the product may be unsafe or non-compliant.
14.6 The Vendor must immediately notify Depot 65 if it becomes aware that any product supplied to Depot 65:
is unsafe;
does not comply with applicable legislation;
is subject to a recall;
has caused or may cause injury or damage;
has received a significant safety complaint; or
has been identified by a regulator as potentially unsafe or non-compliant.
15.1 The Vendor warrants that all products supplied are original, authentic or otherwise lawfully produced and sold.
15.2 The Vendor warrants that the sale of its products does not infringe any third-party intellectual property rights.
15.3 Where products incorporate artwork, photography, text, designs, logos, characters, trademarks or other third-party intellectual property, the Vendor must have obtained all necessary permissions.
15.4 The Vendor grants Depot 65 a non-exclusive, royalty-free licence to use the Vendor's business name, logo, product photographs, product descriptions and other promotional material supplied by the Vendor for the purposes of selling and promoting the Vendor's products through Depot 65.
16.1 Products must be presented in a clean, professional and retail-ready condition.
16.2 Packaging must be suitable for the product and comply with applicable legislation.
16.3 Depot 65 may request reasonable changes to packaging or presentation where necessary for customer safety, product protection, legal compliance, storage, display or the overall presentation of the Emporium.
17.1 Depot 65 will take reasonable care of Consignment Goods once they have been received and accepted into stock.
17.2 Depot 65 will not normally be responsible for loss or damage caused by:
inherent defects;
inadequate packaging;
normal wear and tear;
deterioration caused by the nature of the product;
inaccurate information supplied by the Vendor;
circumstances beyond Depot 65's reasonable control; or
defects in the product itself.
17.3 Where loss or damage is caused by Depot 65's negligence or deliberate misconduct, Depot 65 will deal with the matter fairly and in accordance with applicable law.
17.4 Vendors should maintain appropriate insurance for their products and business activities.
18.1 The Vendor is responsible for maintaining appropriate insurance for its business and products.
18.2 Depending on the nature of the products, this may include public liability insurance, product liability insurance, professional indemnity insurance, stock insurance and any other insurance appropriate to the Vendor's activities.
18.3 Depot 65 may request evidence of insurance where reasonably appropriate.
18.4 Vendors supplying products that carry a higher level of risk may be required to hold a minimum level of product liability insurance as a condition of stocking those products.
19.1 The Vendor agrees to indemnify Depot 65 against reasonable losses, claims, costs, damages and expenses arising directly from:
defective or unsafe products supplied by the Vendor;
the Vendor's breach of applicable law;
infringement of third-party intellectual property rights;
inaccurate or misleading product information supplied by the Vendor;
the Vendor's breach of these Terms; or
a claim that the Vendor did not have the right to supply or sell the relevant goods.
19.2 This clause does not require the Vendor to indemnify Depot 65 for losses caused by Depot 65's own negligence, fraud or deliberate misconduct.
20.1 The Vendor is responsible for its own tax affairs and for declaring income received from sales through Depot 65.
20.2 The Vendor is responsible for determining whether it is required to register for VAT.
20.3 The Vendor must accurately provide its VAT status through its Vendor Account or to Depot 65 where requested.
20.4 The Vendor must notify Depot 65 promptly if its VAT status changes.
20.5 The Vendor remains responsible for its own accounting records and tax obligations.
Unless expressly agreed in writing, Depot 65 will not accept counterfeit goods, illegal goods, stolen goods, unsafe products, products infringing third-party intellectual property, products requiring licences or approvals that have not been obtained, weapons or weapon components, controlled substances, products making unlawful or misleading claims, or any other product prohibited by applicable law.
Depot 65 may immediately withdraw any prohibited or suspected non-compliant product from sale.
22.1 If a Vendor becomes aware of a product safety issue, recall or potential recall affecting any product held by Depot 65, the Vendor must notify Depot 65 immediately.
22.2 Depot 65 may immediately remove affected products from sale.
22.3 The Vendor must cooperate fully with any recall or withdrawal process.
22.4 Reasonable costs incurred by Depot 65 as a direct result of a Vendor's defective or non-compliant product may be recoverable from the Vendor, subject to applicable law.
23.1 Depot 65 may periodically review Vendor stock.
23.2 Where products have not sold within a reasonable period, Depot 65 may ask the Vendor to collect, replace or otherwise withdraw those products.
23.3 Unless otherwise agreed, the Vendor must collect or arrange collection of unsold goods within 14 days of a written request.
23.4 The Vendor is responsible for the cost of collecting unsold goods.
23.5 Depot 65 will not dispose of or sell unsold goods without first giving the Vendor reasonable notice, except where disposal is necessary because goods are unsafe, illegal, perishable or otherwise require urgent action.
24.1 The Vendor is responsible for regularly checking its Vendor Account through depot65.com.
24.2 The Vendor is responsible for ensuring that:
product listings are accurate;
descriptions are complete;
photographs accurately represent the products;
prices are correct;
required compliance information is provided;
contact details are current; and
payment information is correct.
24.3 The Vendor is not responsible for updating the Available Stock quantity following delivery. Depot 65 will update Available Stock when physical stock is received.
24.4 The Vendor remains responsible for notifying Depot 65 when additional stock is available for delivery and for ensuring that delivered stock corresponds with the relevant Product Listings.
24.5 If the Vendor identifies an apparent stock discrepancy, it should notify Depot 65 rather than independently changing the Available Stock figure.
24.6 Depot 65 may suspend affected Product Listings where stock or product information cannot be reconciled.
25.1 Depot 65's Vendor Account functionality is provided through the Depot 65 Store using Shopify and the PuppetVendors application.
25.2 Depot 65 does not guarantee that the Depot 65 Store, Shopify or PuppetVendors will always be available or operate without interruption.
25.3 Temporary outages, maintenance, technical problems or changes to third-party software may affect access to Vendor Accounts or sales information.
25.4 Depot 65 will take reasonable steps to address technical problems within its control.
25.5 Where a technical issue results in an apparent discrepancy in product, stock, sales or commission information, Depot 65 may investigate the relevant records and make reasonable corrections.
26.1 Each party will comply with applicable UK data protection legislation.
26.2 Depot 65 will use Vendor personal and business information for legitimate business purposes, including managing the Vendor relationship, administering Vendor Accounts, processing payments, maintaining sales and stock records, communicating with Vendors, complying with legal obligations and promoting Vendors and their products where appropriate.
26.3 Information may be processed through third-party systems used by Depot 65, including Shopify and PuppetVendors, where necessary to operate the consignment service.
26.4 Vendors should refer to Depot 65's Privacy Policy for further information about the processing of personal data.
27.1 Either party may terminate the Vendor Agreement by giving 30 days' written notice, unless a different notice period has been agreed.
27.2 Depot 65 may terminate the agreement immediately where the Vendor materially breaches these Terms, supplies unsafe or illegal products, repeatedly supplies defective or unsuitable products, provides materially misleading information, becomes insolvent or ceases trading, commits a serious breach of applicable law, or Depot 65 reasonably believes continued sale of the Vendor's products creates a significant legal, safety or reputational risk.
27.3 Following termination, no new goods will normally be accepted.
27.4 Existing stock will be dealt with in accordance with the provisions concerning unsold goods.
27.5 Depot 65 will account to the Vendor for outstanding completed sales in accordance with the normal payment process, subject to legitimate deductions and unresolved disputes.
28.1 If the Vendor fails to collect unsold goods following termination and reasonable written reminders, Depot 65 may charge reasonable storage and administration costs.
28.2 If goods remain uncollected for 60 days following a final written notice, Depot 65 may treat them as abandoned, subject to applicable law.
28.3 Before taking such action, Depot 65 will make reasonable efforts to contact the Vendor using the contact details provided.
The Vendor must notify Depot 65 promptly of any changes to its business name, trading name, address, email address, telephone number, bank details, VAT status, ownership, relevant licences, insurance or any other information that may materially affect the Vendor's relationship with Depot 65.
30.1 The parties will attempt to resolve disputes informally and in good faith.
30.2 A Vendor should first raise any complaint with Depot 65 management in writing.
30.3 Depot 65 will seek to respond to material complaints within a reasonable period.
30.4 Nothing in this clause prevents either party from exercising any legal rights available to it.
31.1 Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
31.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
31.3 Subject to clause 31.2, each party's liability will be limited to losses that are reasonably foreseeable in connection with the relevant breach or event.
Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control, including fire, flood, severe weather, natural disaster, power failure, significant infrastructure failure, government action, industrial action, civil emergency, theft, malicious damage or other circumstances reasonably beyond the affected party's control.
33.1 Unless expressly agreed in writing, the arrangement is non-exclusive.
33.2 The Vendor remains free to sell its products through other retailers, markets, websites and sales channels.
33.3 Depot 65 is not required to stock exclusively the Vendor's products.
34.1 Notices under these Terms should be sent by email or other agreed written communication.
34.2 Notices will be sent to the contact details recorded in the Vendor Account.
34.3 The Vendor is responsible for ensuring that Depot 65 has up-to-date contact information.
35.1 Depot 65 may update these Terms where reasonably necessary to reflect changes in law, business operations, Shopify, PuppetVendors, payment systems, insurance requirements, safety requirements or other reasonable operational requirements.
35.2 Material changes will be communicated to Vendors with reasonable notice.
36.1 These Terms, together with the Vendor's agreed commercial terms and information contained within the Vendor Account, constitute the agreement between Depot 65 and the Vendor concerning the consignment arrangement.
36.2 If there is a conflict between these Terms and a specific written commercial term agreed between Depot 65 and the Vendor, the specific written commercial term will take precedence to the extent of the conflict.
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as removed or modified only to the extent necessary, and the remaining provisions will continue to apply.
These Terms and the relationship between Depot 65 and the Vendor are governed by the laws of England and Wales.
Subject to any mandatory legal requirements, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
By registering for and using a Vendor Account through depot65.com, the Vendor confirms that:
It has read and understood these Terms.
It understands that its Vendor Account is accessed through the Depot 65 Website.
It understands that PuppetVendors provides the underlying back-end functionality associated with its Vendor Account.
It understands that it does not need a separate PuppetVendors account.
It accepts responsibility for creating and maintaining its own Product Listings.
It accepts responsibility for the accuracy of its product descriptions, photographs, prices and associated product information.
It understands that Depot 65 is responsible for updating Available Stock when physical goods are received at the Emporium.
It understands that stock in transit is not treated as Available Stock until physically received and recorded by Depot 65.
It agrees not to independently increase the Available Stock figure to account for goods that have not yet been received by Depot 65.
It understands that Depot 65's standard commission is 40% of the Sale Price.
It understands that its standard share of a sale is 60% of the Sale Price, subject to applicable refunds, chargebacks, discounts and other adjustments.
It accepts responsibility for ensuring that its products comply with applicable law.
It accepts responsibility for its own tax and VAT obligations.
It agrees to regularly review its Vendor Account.
It agrees to notify Depot 65 promptly of any material change affecting its products or business.
The Vendor creates the Product Listing through its Vendor Account on depot65.com.
The Vendor enters the product name, description, photographs, retail price and all other required product information.
The Vendor supplies the approved physical products to Depot 65.
While the products are travelling to Depot 65, they remain the Vendor's responsibility and are not Available Stock.
Depot 65 receives and checks the physical stock.
Depot 65 enters the quantity physically received into the inventory system.
This is the point at which the stock becomes Available Stock.
Customers can purchase the available products through the Depot 65 Online Store and/or physical Emporium.
Following a sale, Shopify/PuppetVendors records the sale and the available inventory is reduced.
Depot 65 retains 40% of the Sale Price.
The Vendor receives 60%, subject to applicable adjustments.
When additional stock is required, the Vendor supplies further physical stock to Depot 65.
Depot 65 then updates the Available Stock following receipt.
