SELLER AGREEMENT

BETWEEN: (1) The GB Farm Shop Ltd (Company Number 16979870) (“GBFS”). (2) The Producer, as identified during the onboarding process (“The Producer”).

1. THE RELATIONSHIP & STATUS

• Marketplace Model: GBFS acts as a marketplace and sales agent.
• Seller of Record: GBFS is not the seller of the products and does not fulfil orders on behalf of the Producer.
• Contract of Sale: The Producer is the seller in the transaction.
• Customer Transparency: Producers must include their own logo and company name on packing slips rather than that of GBFS to ensure customers are clear about who the Seller is.
• Intermediary Role: GBFS will, when needed, act as an intermediary and mediator in customer disputes.

2. LISTINGS & WEBSITE CONTENT

• Platform: Products will be listed on thegreatbritishfarmshop.co.uk.
• Producer Profile: GBFS will create a space for the Producer on the “Our Producers” page, typically using information from the Producer’s own “About Us” page.
• Standardisation: GBFS has the right to alter product images (e.g., removing backgrounds) for website standardisation, provided the product is not misrepresented.
• Allergen Information: The Producer must provide GBFS with all relevant allergen information for every product to be listed on the website.

3. PRICING & PAYMENTS

• Price Control: The Producer retains complete control over the sales price.
• Inclusive Pricing: All prices must include shipping costs.
• Unreasonable Pricing: If GBFS believes a price difference is unreasonable (set to gain free marketing), it may remove the listings and the Producer.
• Producer Revenue: The Producer keeps 100% of their product price.
• Fees: All transaction costs and payout fees are covered by GBFS.
• Payouts: Payouts occur every two weeks, though GBFS may change this frequency if payout fees from Stripe Connect become unreasonable. Payouts will always occur at least monthly.

4. STOCK & FULFILMENT

• Shipping Territory: Shipping is currently limited to mainland UK only. (See Appendix 1 for excluded postcodes).
• Order Notification: Producers receive order notifications via a dedicated platform.
• Dispatch Deadline: Orders must be fulfilled and shipped no later than the next working day following receipt of the order notification.
• Shipping Service: Shipping must be conducted using a standard delivery service or quicker (aiming for delivery within 2–5 working days).
• Stock Management: There is no live stock connection. The Producer must monitor stock and notify GBFS to pause a listing if an item is out of stock.

5. REFUNDS, RETURNS & DISPUTES

• Customer Service: Customers are expected to engage directly with Producers for refund or return requests. GBFS will redirect any customer messages to the Producer’s customer services.
• Terms Precedence: The Producer’s own terms and conditions take precedence in any customer disputes.
• Refund Authorisation: To settle a dispute, the Producer must email GBFS to authorise the reimbursement.
• Refund Recovery: GBFS will process the refund to the customer and deduct the amount from future Producer payouts.

6. PROMOTION & CONDUCT

• Collaborative Promotion: As GBFS runs a lean operating model, it is requested that Producers leverage their own social media platforms to promote thegreatbritishfarmshop.co.uk.
• Brand Assets: Producers are welcome to use the GBFS logo for promotion, provided upon request.
• Social Engagement: Producers are encouraged to tag and follow GBFS on social media.
• Reputation: Both parties agree that all public comments relating to the other party will not damage their brand or reputation.
• Removal from Platform: GBFS may remove a Producer for reasons including customer complaints, poor sales performance, unreasonable refund levels, or stock issues.

7. LEGAL COMPLIANCE & LIABILITY

• Licensing: The Producer is responsible for ensuring they hold all relevant licences required to sell their products (e.g., alcohol licences, food handling certifications, and local authority registrations).
• Taxation: The Producer is responsible for any and all tax on the products. GBFS’s tax liability is limited to the surcharge paid by customers.
• Liability & Indemnity: The Producer assumes all liability for the safety and quality of their products and agrees to indemnify GBFS against any claims arising from product defects or contamination.
• Data Protection: Producers must handle customer data (name and address) solely for the purpose of order fulfilment. This data must not be used for independent marketing without explicit customer consent.
• Governing Law: This agreement is governed by the laws of England and Wales.
• Amendments: GBFS has the right to update these terms at any point, communicating changes within a reasonable timeframe.

Appendix 1: Excluded UK Postcodes

Delivery is not available to the following areas: AB31–38, AB41–47, AB48–56, BT, EX39 2, FK17–21, GY, HS, IM, IV, JE, KA27–28, KW, LL58–78, PA20–49, PA60–78, PA80, PH15–26, PH30–44, PH49–50, TR21–25, ZE.
