Treasures By Dawn Crescent Consignment Terms and Conditions

Welcome to the Vendor Dashboard of Treasures By Dawn Crescent (also discussed as "we," "our," or "us"). By using the Vendor Dashboard, you ("Vendor") agree to comply with the following terms and conditions. Please read them carefully.

1. Vendor Account Registration

1.1 Eligibility: Vendors must be approved by the store owner to gain access to the Vendor Dashboard. Approval is at the sole discretion of Treasures By Dawn Crescent.

1.2 Account Information: Vendors must provide accurate, complete, and up-to-date information during account registration and maintain it thereafter.

1.3 Term of Contract:  This contract is valid for 90 days. An extension will be honored upon request of the vendor.

2. Exclusivity

Vendors agree to grant Treasures By Dawn Crescent full exclusive rights to sell the consigned products listed on the dashboard. Vendors may not list or sell these items through any other platform, store, or channel. Any violation of this exclusivity agreement will constitute a breach of the consignment agreement and may result in immediate termination of the vendor account.

3. Consignment Program

3.1 Ownership: Vendors affirm that they own or have legal authority to consign the items listed in the dashboard.
3.2 Condition of Items: All consigned items must meet our quality standards and must not violate any laws, including copyright or trademark laws. Quality standards are at the discretion of Treasures By Dawn Crescent.
3.3 Approval Process: Consigned items are subject to approval by Treasures By Dawn Crescent. Items deemed unsuitable may be rejected and returned.

4. Pricing / Commissions

4.1 Pricing: Final pricing decisions are at the discretion of Treasures By Dawn Crescent.
4.2 Commission: Treasures By Dawn Crescent will retain a commission of 50% from the sale price of each item. In turn, the Vendor agrees to receive 50% commission from the sale price of each item. This includes any fees incurred from the sale of the item.
4.3 Payouts: Vendor’s commissions will be processed by the first week of the following month after the Vendor’s items have been sold. These commissions fees will be disbursed by either: Paypal, Zelle, or Check mailed by Shopify. Requests to be paid by cash or other forms of payment will not be accepted. This is not negotiable.

4.4 Contact Information: Vendors agree to provide accurate payment details and their full and current contact information to receive payment.

5. Inventory Management

5.1 Tracking Sales: Vendors can track sales, payouts, and inventory status via the Vendor's dashboard. The Vendor's Log-in Link to their web-portal for access will be made available at the TDC website: www.treasuresbydawncrescent.com.
5.2 Unsold Items: Items that remain unsold after 90 days may be renewed by request, returned to the vendor or donated at the vendor's discretion.

6. Prohibited Activities

Vendors are prohibited from:

• Listing counterfeit, stolen, or illegal items.
• Providing false or misleading information.
• Circumventing our commission system by directly soliciting customers.

7. Termination of Agreement

7.1 Vendor-Initiated Termination: Vendors may request to terminate their account at any time by providing written notice and within the 90 days of their contract.  The vendor agrees that if they terminate their contract at anytime within 90 days, a $10 service fee will be charged for the expenses and labor incurred for managing their inventory during the contract. These fees can be paid directly to Treasures by Dawn Crescent, or taken out of their earnings from sold inventory.  This is not negotiable.
7.2 Store-Initiated Termination: Treasures by Dawn Crescent reserves the right to suspend or terminate vendor accounts for violations of these terms or other reasons deemed necessary.

8. Limitation of Liability

Treasures by Dawn Crescent is not responsible for:

• Loss or damage of consigned items due to events beyond our control (e.g., natural disasters, theft, arson, acts of God, etc.).
• Errors or interruptions in the Vendor Dashboard system or any third-party software.

9. Privacy and Data Use

We collect and process vendor data in accordance with our Privacy Policy. Vendors consent to the collection, use, and sharing of their information as described therein.

10. Amendments to Terms

Treasures by Dawn Crescent reserves the right to update these terms at any time. Vendors will be notified of significant changes via email or dashboard notifications. Continued use of the Vendor Dashboard constitutes acceptance of updated terms.

11. Governing Law

These terms are governed by the laws of Georgia, without regard to its conflict of law provisions.
